1. Agreement to Terms

When you create an account, you will be asked to affirmatively agree to these Terms and Conditions ("Terms") and our Privacy Policy by checking a box before your account can be created. Your continued use of our website, mobile application, and photo distribution services (collectively, the "Service"), including but not limited to any features, content, or services we offer, is also subject to these Terms and any other guidelines, rules, or additional terms applicable to specific features of the Service, which may be posted from time to time.

If you don't agree to these Terms, you must not check the box, create an account, or use the Service.

Your continued use of the Service after any modifications to these Terms will constitute your acknowledgment of the modifications and your agreement to abide and be bound by the modified Terms.

You also represent and warrant that you have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.

2. Definitions

  • "Company", "we", "us", or "our" refers to Papzi.
  • "You" refers to the user of the Service.
  • "Content" means text, images, photos, audio, video, and all other forms of data or communication.
  • "User Content" means Content that users submit or transmit to, through, or in connection with the Service.

3. Changes to Terms

We may modify these Terms at any time. Modifications may include, but are not limited to, changes in features, functionality, pricing, payment terms, or legal obligations.

If we do, we'll let you know either by posting the modified Terms on the Service or through other communications. Such modifications will become effective immediately upon being posted unless otherwise stated.

If you continue to use the Service after we've posted modified Terms, you're indicating that you agree to be bound by the modified Terms. If you don't agree to be bound by the modified Terms, you must stop using the Service. We encourage you to regularly review these Terms for any changes. Your failure to review these Terms will not constitute a defense to any claims arising out of or related to your use of the Service. In the event of any dispute between previous versions of the Terms and the current version, the most recent version of the Terms will prevail.

4. Eligibility

You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant that:

  • You are at least 18 years old.
  • You have not previously been suspended or removed from the Service.
  • You are not a competitor of Papzi or using the Service for reasons that are in competition with Papzi.
  • Your registration and your use of the Service is in compliance with all applicable laws and regulations.
  • You are not using the Service on behalf of a third party, except as expressly permitted by these Terms.

You agree to provide us with accurate and truthful information about yourself and to update that information as necessary to ensure it remains accurate and complete.

5. Accounts and Registration

To access some features of the Service, you must register for an account. When you register, you agree to provide accurate, current, and complete information about yourself.

You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You must not share your password or account information with any third party, and you are solely responsible for all activities that occur under your account, whether authorized by you or not.

You agree to immediately notify us of any unauthorized use of your account or any other breach of security. You must not create an account using a false identity or on behalf of someone other than yourself or a legal entity you are authorized to represent. You agree not to register for more than one account unless expressly permitted by us.

You must not sell, transfer, or assign your account or any account rights to a third party without our prior written consent. We reserve the right to suspend or terminate your account, refuse service, or cancel orders if you violate any part of these Terms or if we suspect fraudulent or harmful behavior.

Papzi is not liable for any loss or damage arising from your failure to comply with these obligations.

6. User Content and License

By submitting User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display and distribute such User Content in any and all media or distribution methods now known or later developed. This license also allows us to make your User Content available to other companies, organizations, or individuals with whom we have relationships for the provision of services, and to use such content in connection with the provision of those services.

You acknowledge and agree that the license granted includes the right for us to provide, promote, and improve the Service and to make User Content submitted to or through the Service available to other companies, organizations, or individuals for syndication, broadcast, distribution, promotion, or publication of such content on other media and services, subject to these Terms.

You represent and warrant that you have all rights, power, and authority necessary to grant the rights granted herein to any User Content that you submit, including without limitation all rights necessary to upload or transmit the User Content, and that your User Content does not infringe, misappropriate, or violate any third-party rights, including but not limited to privacy rights, publicity rights, intellectual property rights, or contractual rights.

You further represent and warrant that all individuals depicted in any photos or videos submitted to the Service have consented to the use of their likeness and any biometric data associated with facial recognition technology, as applicable, and you agree to indemnify and hold Papzi harmless from any claims arising out of or related to such submissions.

We are not responsible for, and do not endorse, any User Content. We reserve the right to remove or modify any User Content for any reason, including but not limited to content that we believe violates these Terms or our policies.

7. Facial Recognition Technology and Consent

7.1 Use of Facial Recognition

Our Service employs facial recognition technology to identify individuals in photos uploaded to the platform. This technology is used to organize and distribute photos more efficiently. Facial recognition technology analyzes biometric data, including facial features, for the purpose of automatically identifying individuals within photos. By using the Service, you acknowledge and agree to the use of this technology.

7.2 Event Host Consent

By using our Service, event hosts (e.g., wedding couples, event organizers) represent and warrant that they have obtained necessary permissions from their guests for the use of facial recognition technology on photos taken at their event. Event hosts assume all responsibility for ensuring compliance with any applicable data protection or biometric privacy laws in relation to their guests. Event hosts agree to indemnify and hold Papzi harmless from any claims arising from the use of facial recognition technology on their event photos.

7.3 Guest Consent

Event hosts are responsible for informing their guests about the use of our Service and the facial recognition technology it employs. Guests who object to the use of facial recognition on their images should contact the event host directly. Papzi is not liable for any failure by the event host to inform or obtain consent from guests.

7.4 Opt-Out Mechanism

We provide an opt-out mechanism for individuals who do not wish to have facial recognition technology applied to their images. To opt out, individuals must contact us at help@papzi.com with their request. Upon receiving a valid opt-out request, we will take reasonable steps to remove or anonymize the individual's images from our facial recognition system within a reasonable period of time. However, Papzi is not responsible for any use of facial recognition technology that occurred before the opt-out request was processed.

7.5 Data Processing

All facial recognition data is processed in accordance with our Privacy Policy. We do not sell or share facial recognition data with third parties for marketing purposes. Facial recognition data is stored securely and is only retained for the purposes of fulfilling our service obligations. Upon request, individuals may have their data removed or anonymized in accordance with our data retention policies.

7.6 Limitation of Liability

Papzi is not liable for any misuse or misrepresentation by event hosts regarding the consent obtained from their guests for the use of facial recognition technology. Papzi disclaims all liability for any unauthorized access, use, or disclosure of facial recognition data resulting from actions or omissions by event hosts.

7.7 Compliance with Laws

We strive to comply with all applicable laws and regulations regarding biometric data and facial recognition technology. However, as laws in this area are evolving, we reserve the right to modify our practices and these terms to remain in compliance with changing legal requirements.

7.8 Data Retention and Deletion

Facial recognition data associated with event photos will be retained only as long as necessary to fulfill the purposes for which it was collected or as required by law. Upon request, users or individuals may request deletion of their biometric data, and we will delete such data unless retention is required by law. Aggregate and anonymized data may be retained for analytical purposes that do not identify any individual.

7.9 Data Security

We implement industry-standard security measures to protect facial recognition data from unauthorized access, disclosure, alteration, or destruction. These measures include encryption, access controls, and regular security audits to ensure data integrity and protection. However, no system is completely secure, and we cannot guarantee absolute security.

7.10 Geographic Restrictions

The availability of facial recognition technology may be restricted in certain geographic areas due to local laws or regulations. It is the responsibility of event hosts to verify that the use of facial recognition technology complies with local regulations in their jurisdiction. Papzi reserves the right to disable facial recognition features in certain regions to ensure compliance with applicable laws.

7.11 Consent Withdrawal

Event hosts and individuals may withdraw consent to the use of facial recognition technology at any time by contacting us at help@papzi.com. Upon receiving a valid request, we will cease using facial recognition on future uploads and, where applicable, delete or anonymize biometric data already collected. However, withdrawal of consent may limit or disable certain features of the Service.

7.12 Restrictions on Use

Facial recognition technology provided by Papzi is intended solely for lawful purposes related to the organization of event photos. Users may not use this technology for any unlawful purposes, including but not limited to surveillance, discriminatory practices, or any activities in violation of data protection or privacy laws.

8. Cancellation, Refunds, and Data Retention

8.1 Subscription Cancellation

Customers may cancel their subscription at any time through their account settings or by contacting customer support. Cancellation requests must be made in writing or through the designated account management tools, and cancellations will be effective as of the date the request is processed. For monthly subscriptions, service will continue until the end of the current paid period without refund. For annual subscriptions, service will continue until the end of the current month, with a prorated refund issued for remaining months, minus an administrative fee. Prorated refunds for annual subscriptions will not be provided if the cancellation occurs during the final 30 days of the subscription period.

8.2 Refund Policy

No refunds are provided for monthly subscriptions. The minimum commitment is for a 2-month service period. Annual subscription refunds are prorated based on unused months, with a minimum 2-month charge. Refunds for unused services will only be provided if the customer is in good standing and has not violated any Terms or engaged in prohibited activities. Refunds are processed within 10 business days to the original payment method. If a refund cannot be processed to the original payment method, Papzi reserves the right to issue the refund via alternative methods, such as store credit or a wire transfer.

8.3 Data Retention and Access

Photos and event data are retained based on the event host's plan. For free plan events, data is retained for 1 month from the Event Creation Date. For paid plan events, data is retained for 3 months from the Event Creation Date. During this period, guest access links will remain active and data may be downloaded or transferred. It is the customer's responsibility to ensure data is downloaded or transferred before the applicable retention period expires.

8.4 Data Deletion

Once an event's retention period expires (1 month for free plan events, 3 months for paid plan events), the event will be marked as expired and all associated photos and event data will be permanently deleted. Aggregate, anonymized data may be retained for analytics purposes.

8.5 Reactivation

Once an event's data has been deleted as described in Section 8.4, it cannot be recovered or restored. If a customer wishes to continue using the Service after an event has expired, they must create a new event and re-upload their content.

8.6 Communication

We will send email notifications regarding account status, data retention, and deletion timelines upon cancellation and prior to data deletion. It is the customer's responsibility to ensure that the email address associated with their account is current and capable of receiving such notifications. Papzi is not liable for missed communications due to outdated or inactive contact information.

8.7 Changes to Policy

We reserve the right to modify this policy at any time. Changes will be communicated via email and/or notice on our website. Continued use of the Service after any such changes will constitute acceptance of the revised policy.

9. Intellectual Property Rights

All rights, title, and interest in and to the Service, including without limitation all software, code, designs, text, graphics, logos, icons, images, audio, video, features, functionality, and any other materials or content provided through the Service (collectively, the "Service Content"), are and shall remain the exclusive property of Papzi or its licensors. The Service Content is protected by copyright, trademark, patent, trade secret, and other intellectual property and proprietary rights laws, both in the United States and internationally.

You acknowledge that, except for the limited license granted to you in these Terms, you have no right, title, or interest in or to any Service Content, and you agree not to modify, rent, lease, loan, sell, distribute, create derivative works of, or exploit in any way any part of the Service Content without express written permission from Papzi.

All trademarks, service marks, logos, and trade names (collectively, "Marks") displayed on the Service are the exclusive property of Papzi or third parties that have authorized their use by Papzi. Nothing in these Terms grants you any license or right to use any of the Marks without prior written permission of Papzi or the respective owner of the Mark. Any unauthorized use of the Marks is strictly prohibited.

Papzi retains all rights in its proprietary software and algorithms used in connection with the Service, including any artificial intelligence, machine learning, or facial recognition technology. You may not reverse engineer, decompile, disassemble, or attempt to discover the source code, object code, or underlying structure, ideas, know-how, or algorithms of the Service.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service and its content solely for your personal, non-commercial use, or, where applicable, for your professional use in connection with events you are managing, in accordance with these Terms. This license does not grant you any ownership rights in the Service or Service Content.

Any feedback, comments, or suggestions you provide to Papzi regarding the Service ("Feedback") is entirely voluntary and Papzi will be free to use such Feedback without any obligation to you. By submitting Feedback, you grant Papzi a worldwide, perpetual, irrevocable, fully paid-up, royalty-free license to use and incorporate such Feedback into its products or services without restriction or compensation.

We reserve all rights not expressly granted to you in these Terms. Any unauthorized use of the Service or Service Content will terminate the license granted in these Terms and may violate intellectual property laws, subjecting you to civil and criminal penalties.

10. User Responsibilities

By accessing and using the Service, you agree to adhere to the following responsibilities and obligations. Failure to comply with these responsibilities may result in suspension or termination of your account, as well as legal action if necessary:

10.1 Accurate Information

You agree to provide accurate, current, and complete information when registering for an account or using the Service. You are responsible for keeping your account information up to date and ensuring that it remains accurate throughout your use of the Service.

10.2 Account Security

You are responsible for maintaining the confidentiality and security of your account credentials, including your password. You must not share your account information with any third party. Any activity that occurs under your account is your responsibility, whether or not you authorized such activity. You agree to notify us immediately of any unauthorized use of your account or other breaches of security.

10.3 Compliance with Laws

You agree to use the Service in compliance with all applicable local, state, national, and international laws, regulations, and ordinances, including but not limited to laws related to privacy, intellectual property, and biometric data.

10.4 Content Ownership and Permissions

You represent and warrant that you own or have the necessary rights and permissions to upload, submit, or share any User Content (including photos, videos, and other media) through the Service. You are solely responsible for ensuring that any individuals whose images, likenesses, or personal data are included in the User Content have provided appropriate consent.

10.5 Prohibited Activities

You agree not to engage in any activity that:

  • Violates any applicable law or regulation.
  • Infringes upon the rights of others, including intellectual property, privacy, or contractual rights.
  • Involves the transmission of any material that is unlawful, harmful, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
  • Interferes with, disrupts, or damages the Service or any servers or networks connected to the Service.
  • Involves the use of any automated systems, such as bots, scripts, or data mining, to extract data or information from the Service without prior written consent from Papzi.
  • Attempts to gain unauthorized access to the Service, other user accounts, or Papzi's systems or networks.

10.6 No Commercial Use

Unless expressly authorized by Papzi, you agree not to use the Service for any commercial purpose, including but not limited to marketing, promotion, or sales of goods or services unrelated to the Service.

10.7 Facial Recognition and Biometric Data

If you upload photos or media that may involve facial recognition technology, you are responsible for obtaining any required consents from the individuals depicted. You agree to inform all event participants or individuals whose biometric data is captured about the use of facial recognition technology and provide them with the opportunity to opt-out, if applicable.

10.8 Respect for Other Users

You agree to respect the rights of other users of the Service. This includes not engaging in harassment, stalking, bullying, or abusive behavior, and not violating the privacy or security of other users.

10.9 No Reverse Engineering

You agree not to reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or underlying ideas of the Service or any part of it, except to the extent that such actions are expressly permitted by law.

10.10 Reporting Violations

You agree to report any violations of these Terms or any suspicious activity you become aware of immediately to Papzi's customer support.

10.11 Indemnification

You agree to indemnify and hold Papzi, its affiliates, officers, employees, and agents harmless from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to your violation of these Terms, including any User Content you submit or share through the Service.

11. Prohibited Conduct

By using the Service, you agree not to engage in any of the following prohibited activities. Engaging in any such activities may result in suspension or termination of your account and legal action if necessary:

11.1 Unauthorized Use or Distribution

Copying, distributing, modifying, displaying, performing, or disclosing any part of the Service, including but not limited to Service Content, in any medium or by any means, except as expressly authorized by these Terms or with prior written consent from Papzi.

11.2 Automated Access

Using any automated systems, software, scripts, bots, spiders, crawlers, or other automated means to access, scrape, or extract data from the Service without our prior written consent. This includes any form of data mining, screen scraping, or crawling for commercial or competitive purposes.

11.3 Service Disruption

Attempting to interfere with, disrupt, or disable the proper working of the Service or any part of it, including but not limited to overloading, flooding, spamming, or crashing the Service, or launching denial-of-service (DoS) attacks or other malicious activities.

11.4 Unauthorized Access

Attempting to gain unauthorized access to any part of the Service, including servers, databases, user accounts, or networks connected to the Service. This includes circumventing any access controls or security measures employed by Papzi to protect the Service and its users.

11.5 Impersonation or Misrepresentation

Impersonating another person, entity, or organization, or misrepresenting your affiliation with any person or entity in a manner that is misleading, fraudulent, or otherwise harmful.

11.6 Violation of Privacy

Collecting or harvesting any personal data of users, including but not limited to account names or contact information, without their consent or in violation of applicable privacy laws, including but not limited to the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA).

11.7 Illegal Activities

Using the Service to promote, support, or engage in any activity that is illegal, harmful, defamatory, abusive, harassing, violent, obscene, sexually explicit, or otherwise objectionable. This includes any activity that infringes on the intellectual property, privacy, or other rights of any third party.

11.8 Fraud and Deception

Using the Service for any fraudulent, misleading, or deceptive activities, including but not limited to scams, phishing, or submitting false information during account registration, payments, or any interaction with Papzi or other users.

11.9 Harmful Code

Uploading, transmitting, or distributing any viruses, worms, malware, ransomware, or other malicious or harmful code or programs designed to interfere with the Service, data, or devices of other users.

11.10 Exceeding Licensed Use

Using the Service in excess of the rights granted to you under these Terms, including reverse engineering, decompiling, disassembling, or otherwise attempting to discover the source code, object code, or underlying algorithms of the Service or any part thereof, except as expressly permitted by law.

11.11 Prohibited Commercial Use

Using the Service for commercial purposes that are not authorized by Papzi, including reselling access to the Service, using the Service to generate revenue through advertisements or other means, or using the Service to operate or promote any other competing service without prior written approval.

12. Third-Party Links and Content

Our Service may contain links to third-party websites or services that are not owned or controlled by Papzi. These links are provided solely as a convenience to you and do not imply any endorsement by Papzi of the third-party content or services.

We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. By using the Service, you acknowledge and agree that Papzi is not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any such third-party content, products, or services.

You access any third-party websites or services at your own risk, and we encourage you to review the terms and policies of any third-party websites or services you visit. Papzi does not guarantee the availability, quality, or reliability of any third-party content or services, and we disclaim any responsibility for issues that may arise from your interactions with third parties, including any disputes, claims, or liabilities.

13. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms, violations of our Privacy Policy, or conduct that we deem harmful to the Service, Papzi, or other users.

Upon termination or suspension, your right to use the Service will cease immediately. All provisions of these Terms which, by their nature, should survive termination, including but not limited to intellectual property rights, disclaimers, indemnity, and limitations of liability, will survive the termination of your account and access to the Service.

If you wish to terminate your account, you may do so by discontinuing your use of the Service and notifying us at help@papzi.com.

Upon termination, Papzi reserves the right to delete or anonymize your data, and we are under no obligation to retain your data beyond the retention period set forth in our Data Retention Policy.

Termination of your account does not relieve you of any obligations to pay any outstanding fees or resolve any disputes related to your use of the Service prior to termination. Papzi reserves the right to pursue any remedies available to it under these Terms or at law to enforce any rights or obligations that accrued prior to termination.

14. Limitation of Liability

To the fullest extent permitted by law, in no event shall Papzi, its directors, officers, employees, partners, agents, suppliers, contractors, licensors, or affiliates be liable to you or any third party for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to, loss of profits, loss of revenue, loss of data, loss of use, business interruption, loss of goodwill, or other intangible losses, arising out of or related to your access to, use of, or inability to access or use the Service, whether based in contract, tort (including negligence), strict liability, or any other legal theory, even if Papzi has been advised of the possibility of such damages.

Without limiting the generality of the foregoing, Papzi's liability for any claim arising out of or in connection with your use of the Service shall be strictly limited to the amount you paid, if any, for access to and use of the Service in the 12-month period immediately preceding the event giving rise to the claim. If you have not made any payments to Papzi, your sole remedy shall be to discontinue your use of the Service.

Papzi assumes no liability or responsibility for:

  • Any errors, mistakes, or inaccuracies in the Service content;
  • Any unauthorized access to or use of our servers and/or any personal information or financial information stored therein;
  • Any interruption or cessation of transmission to or from the Service;
  • Any bugs, viruses, trojans, or similar malicious software that may be transmitted to or through the Service by any third party;
  • Any content or conduct of any third party using the Service, including but not limited to defamatory, offensive, or illegal conduct;
  • Any loss or damage of any kind incurred as a result of your use of any content or materials posted, emailed, transmitted, or otherwise made available via the Service.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations in this section may not apply to you. In such jurisdictions, Papzi's liability shall be limited to the greatest extent permitted by law.

This Limitation of Liability section applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, and whether or not Papzi has been advised of the possibility of such damages. The limitations set forth in this section will survive the termination or expiration of these Terms and your use of the Service.

15. Indemnification

You agree to indemnify, defend, and hold harmless Papzi, its directors, officers, employees, partners, agents, suppliers, contractors, licensors, and affiliates (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, and expenses (including, but not limited to, reasonable attorneys' fees and court costs) arising out of or in any way connected with:

  • Your breach of these Terms or any violation of applicable laws or regulations;
  • Your use or misuse of the Service, including but not limited to your submission of User Content and use of any facial recognition technology;
  • Any claim that your User Content infringes, misappropriates, or violates the intellectual property rights, privacy rights, publicity rights, or other rights of any third party;
  • Your violation of any rights of another person or entity, including but not limited to privacy rights or data protection rights;
  • Any negligent, wrongful, or illegal conduct by you or anyone using your account;
  • Any disputes between you and other users of the Service or any third party.

Papzi reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate fully with Papzi in asserting any available defenses. In such case, you agree not to settle any matter without the prior written consent of Papzi.

16. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties that may arise from course of dealing, course of performance, or usage of trade.

Papzi makes no warranty or representation that:

  • The Service will meet your specific requirements or expectations;
  • The Service will be uninterrupted, timely, secure, or error-free;
  • The results or outputs from the Service, including any organization or distribution of photos via facial recognition technology, will be accurate, reliable, or free from errors;
  • The quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations;
  • Any errors in the Service will be corrected or that any part of the Service is free from viruses, malware, or other harmful components.

Papzi does not warrant or make any representations regarding the use or the results of the use of the Service or any third-party content accessed through the Service in terms of correctness, accuracy, reliability, or otherwise. You acknowledge that any reliance on information or content obtained through the Service is at your own risk.

No advice or information, whether oral or written, obtained by you from Papzi or through the Service shall create any warranty not expressly stated in these Terms.

17. Dispute Resolution

Before pursuing any formal legal action, you agree to first attempt to resolve any disputes with Papzi informally by contacting us. We will work to resolve the issue through good-faith negotiations within 30 days of receiving notice of the dispute.

If we cannot resolve the dispute informally, any claims arising out of or related to these Terms or your use of the Service will be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will take place in a mutually agreed-upon location or, if no agreement is reached, in a location determined by the arbitrator.

Both parties will be responsible for their own arbitration costs, unless otherwise provided by law. You agree that any dispute resolution will be conducted on an individual basis and not in a class or representative action. You expressly waive the right to participate in any class action lawsuit or class arbitration.

Exceptions to arbitration include claims that can be brought in small claims court or disputes involving intellectual property rights, such as copyright, trademark, or patent violations. In these cases, either party may seek relief in a court of competent jurisdiction.

18. Force Majeure

Papzi shall not be liable for any failure or delay in performing its obligations under these Terms, including providing access to the Service, if such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, labor disputes, government actions, pandemics, power failures, internet or telecommunications outages, or any other event that is unforeseeable and unavoidable ("Force Majeure Event").

During a Force Majeure Event, Papzi's obligations under these Terms will be suspended for the duration of the event. Papzi will make reasonable efforts to mitigate the effects of the Force Majeure Event and resume full performance as soon as is practicable.

If the Force Majeure Event continues for an extended period, either party may terminate the agreement without further obligation, except for obligations that accrued before the event.

19. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

20. Changes to Service

We reserve the right to withdraw or amend our Service, and any service or material we provide via the Service, in our sole discretion without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service or any part thereof.

You acknowledge and agree that we are not obligated to maintain or support the Service or to provide any updates, upgrades, or enhancements. We do not guarantee that the Service or any content on it will always be available or uninterrupted.

From time to time, we may need to perform maintenance or make updates, which may result in temporary service interruptions. We will not be liable if any part of the Service becomes unavailable for any reason, at any time, or for any period.

21. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions of these Terms will remain in full force and effect. The invalidity of any part of these Terms shall not affect the validity or enforceability of the remaining provisions.

22. Assignment

You may not assign, transfer, or delegate any of your rights or obligations under these Terms without the prior written consent of Papzi. Any attempted assignment in violation of this provision shall be null and void.

Papzi may freely assign or transfer its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

23. Waiver

The failure of Papzi to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by a duly authorized representative of Papzi.

No waiver of any breach or default under these Terms shall be considered a waiver of any subsequent breach or default.
